Conditions
1. FLANDERS FOAL AUCTION BV, hereafter referred to as “FLANDERS FOAL AUCTION”, with registered office in Belgium, 3990 Peer, Overes 22, registered in the Crossroads Bank for Enterprises (KBO) under the number 0632.503.544, organises an auction of foals on the 16th of September 2023 in Peelbergen. The auction will be held live and can be followed online with the possibility of participating in the auction online as well.
2. Participation in this auction implies express and unreserved knowledge and acceptance of these auction conditions.
3. This live auction will also be broadcast on the internet via clipmyhorse. The buyer who wishes to bid online must register on the auction website www.flandersfoalauction. be in the manner prescribed by FLANDERS FOAL AUCTION before he/she can participate in the auction. This registration is considered as unconditional acceptance of the auction conditions. Furthermore, by participating in an auction, the buyer declares that he or she is authorised to perform legal acts and enter into a purchase agreement regarding the foal concerned. The buyer is obliged to ensure that all information to be provided by the bidder to FLANDERS FOAL AUCTION at the time of registration is filled in completely, correctly and truthfully, and the buyer vouches for the correctness and completeness of the information provided by him.
4. The buyer is aware and expressly agrees that the services available on the website are limited to making it technically possible to follow the auction via the internet and to participate in the auction as a bidder. FLANDERS FOAL AUCTION has no and assumes no responsibility for the organisation and running of the auction via its website (e.g. and without being exhaustive: the breakdown of the website during the auction or any delay in the functioning of the website during the auction). FLANDERS FOAL AUCTION makes every effort to secure its systems against loss of data and/or any form of unlawful use and takes appropriate technical and organisational measures for this purpose. In his/her dealings with FLANDERS FOAL AUCTION, the buyer is obliged to adequately secure the computer and/or any other device he/she uses to access the auction website, and to protect it as is customary against viruses or other unlawful programs or files that may be spread via the internet.
5. The sale shall be effected under Belgian law by auction through bidding and award to the highest bidder. The allotment price may or may not include VAT. The auction will be supervised by an auctioneer to be appointed by FLANDERS FOAL AUCTION, who will draw up a record of sale.
6. The lots will be allotted to the highest bidder at the end of the auction. The final bill for the buyer is calculated as follows: allotment price + applicable VAT + 10% auction commission calculated on the allotment price + 21% VAT. By submitting a bid, the bidder undertakes to pay the total amount after the allotment.
7. If the buyer withdraws for whatever reason, FLANDERS FOAL AUCTION is entitled to resell the foal on the day of the auction. The private buyer/consumer has a right of withdrawal of 14 days. The initial buyer is obliged to pay FLANDERS FOAL AUCTION the costs associated with this resale, at least the difference in the purchase price which was not realised during the resale. FLANDERS FOAL AUCTION is also entitled to resell the foal if the buyer cannot be identified.
8. The final amount is due immediately upon allotment. FLANDERS FOAL AUCTION will issue an invoice to the buyer which is due upon receipt and must be paid into FLANDERS FOAL AUCTION’s account prior to delivery of the foal to the buyer. The ownership of the foal is transferred at the moment of payment by the buyer to FLANDERS FOAL AUCTION.
9. If FLANDERS FOAL AUCTION has not received full payment from the buyer within 5 working days after the auction, the buyer shall be in default by operation of law and, in addition to the other amounts owed to and for the benefit of FLANDERS FOAL AUCTION, shall be obliged to pay (a) interest at the rate of 1% per month on the total amount owed, to be calculated from the day of the auction until the day of full payment and (b) additional damages amounting to 10% on the invoice amount.
10. Any liability in respect of the auctioned lots shall pass to the buyer immediately after they have been allotted. After the auction and payment, the buyer and FLANDERS FOAL AUCTION will make arrangements for delivery in mutual consultation. Delivery is made in Belgium at the address of the registered office of FLANDERS FOAL AUCTION unless otherwise agreed in writing between the parties. Transport costs shall be borne by the buyer.
11. FLANDERS FOAL AUCTION draws the buyer’s attention to the fact that the buyer can take out insurance immediately after purchase with Q&O Verzekeringen.
12. The buyer cannot derive any right from the fact that FLANDERS FOAL AUCTION has selected the lots. The information on the lots offered for sale is intended only to give an impression of the qualities of the lots, without claiming to be complete and without giving any guarantees. FLANDERS FOAL AUCTION is not liable for any printing errors and/or material mistakes in the catalogue or incorrect statements on its website.
13. FLANDERS FOAL AUCTION is not liable for visible and/or hidden defects. In any case, FLANDERS FOAL AUCTION’s liability shall be limited to a maximum of the commission paid by the buyer and the amounts covered by its insurer.
14. In case of export, the buyer shall present a valid export document within 3 months after the auction or be liable for VAT.
15. If one or more of the provisions contained in the auction conditions are or become invalid, the remaining provisions shall remain in force. In that case, a new provision shall replace the invalid provision, which shall correspond as closely as possible with the former invalid provision in terms of content, scope and purpose.
16. In the event of a dispute, only the Dutch text shall apply. The translation of these auction conditions into a language other than Dutch is for information purposes only.
17. FLANDERS FOAL AUCTION shall settle all disputes that may arise during the auction operations in the last resort. Any dispute arising from this auction and its consequences shall be exclusively governed by Belgian law, to the exclusion of the provisions of the Vienna Convention on Contracts for the International Sale of Goods. The Commercial Court of Antwerp, Hasselt Division, and the Court of First Instance of Limburg, Hasselt Division, are exclusively competent to hear any disputes that may arise.

FLANDERS FOAL AUCTION BV, hierna “FLANDERS FOAL AUCTION” genoemd, met maatschappelijke zetel te België, 3990 Peer, Overes 22, ingeschreven in het KBO-register onder het nr. 0632.503.544 organiseert op 16 September 2023 in Peelbergen een veiling van veulens. De veiling wordt live gehouden en kan online gevolgd worden met de mogelijkheid om ook online deel te nemen aan de veiling.
2. Het deelnemen aan deze veiling impliceert de uitdrukkelijke en voorbehoudsloze kennisname en aanvaarding van deze veilingvoorwaarden.
3. Deze live veiling wordt eveneens uitgezonden op het internet via clipmyhorse. De koper die online wenst te bieden dient zich via de website www.flandersfoalauction. be te registreren op de door FLANDERS FOAL AUCTION voorgeschreven wijze op de veilingwebsite alvorens hij/zij kan deelnemen aan de veiling. Deze registratie geldt als onvoorwaardelijke aanvaarding van de veilingvoorwaarden. Verder verklaart de koper door deelname aan een veiling bevoegd te zijn tot het verrichten van rechtshandelingen en verklaart de koper zich bevoegd tot het sluiten van een koopovereenkomst met betrekking tot het betreffende veulen. De koper is verplicht ervoor te zorgen dat alle door de bieder aan FLANDERS FOAL AUCTION te verstrekken informatie bij inschrijving volledig, juist en naar waarheid is ingevuld en de koper staat in voor de juistheid en volledigheid van de door hem verstrekte informatie.
4. De koper is zich er van bewust en stemt er uitdrukkelijk mee in dat de via de website beschikbare diensten beperkt zijn tot het technisch mogelijk maken van het via het internet volgen van de veiling en het als bieder participeren aan de veiling. FLANDERS FOAL AUCTION heeft en neemt geen enkele verantwoordelijkheid voor de organisatie en het verloop van de veiling via haar website (bijvoorbeeld en zonder limitatief te willen zijn: het uitvallen van de website tijdens de veiling of de vertraging van de werking van de website tijdens de veiling). FLANDERS FOAL AUCTION stelt alles in het werk om haar systemen te beveiligen tegen verlies van gegevens en / of tegen enige vorm van onrechtmatig gebruik en treft hiertoe passende technische en organisatorische maatregelen. In zijn/haar omgang met FLANDERS FOAL AUCTION is de koper verplicht om de computer en / of elk ander apparaat dat hij / zij gebruikt om toegang te krijgen tot de veilingwebsite adequaat te beveiligen, en zoals gebruikelijk te beschermen tegen virussen of andere onwettige programma’s of bestanden die kunnen verspreid via internet.
5. De verkoop komt tot stand volgens Belgisch recht door middel van veiling middels biedingen per opbod en toewijzing aan de hoogste bieder. De toewijzingsprijs is al dan niet te verhogen met BTW. De veiling staat onder toezicht van een door FLANDERS FOAL AUCTION aan te duiden veilingmeester dewelke een proces-verbaal van de toewijzing opmaakt.
6. De loten worden op het einde van de veiling toegewezen aan de hoogste bieder. De afrekening wordt ten aanzien van de koper als volgt berekend: de toewijzingsprijs + de van toepassing zijnde BTW + veilingcommissie à 10% berekend op de toewijzingsprijs + 21% BTW, is het afrekeningsbedrag. Met het uitbrengen van een bod verbindt de bieder zich na toewijzing tot betaling van het afrekeningsbedrag.
7. Indien de Koper zich terugtrekt, om welke reden dan ook, is FLANDERS FOAL AUCTION gerechtigd om het veulen op de dag van de veiling opnieuw te verkopen. De particuliere koper/consument beschikt over een herroepingsrecht van 14 dagen. De initiële koper is gehouden tot betaling aan FLANDERS FOAL AUCTION van de kosten dewelke met deze wederverkoop gepaard gaan, minstens van het verschil in de koopprijs dewelke tijdens de wederverkoop niet gerealiseerd werd. Ook indien de koper niet geïdentificeerd kan worden, is FLANDERS FOAL AUCTION gerechtigd om het veulen opnieuw te verkopen.
8. Het afrekeningsbedrag is onmiddellijk verschuldigd bij toewijzing. FLANDERS FOAL AUCTION reikt aan de koper een factuur uit dewelke contact betaalbaar is en voorafgaandelijk aan de levering van het veulen aan de koper vereffend dient te worden op de rekening van FLANDERS FOAL AUCTION. De eigendom van het veulen gaat over op het ogenblik van de betaling door de koper aan FLANDERS FOAL AUCTION.
9. Indien FLANDERS FOAL AUCTION binnen de 5 werkdagen na de veiling de algehele betaling van de koper niet heeft ontvangen, is de koper van rechtswege in verzuim en verplicht om naast het overig verschuldigde aan en ten behoeve van FLANDERS FOAL AUCTION te betalen (a) een intrestvergoeding van 1% per maand over het totaal verschuldigde afrekeningsbedrag te berekenen vanaf de dag van de veiling tot op de dag van de integrale betaling en (b) een aanvullende schadevergoeding ten bedrage van 10% op het afrekeningsbedrag.
10. Iedere aansprakelijkheid ten aanzien van de geveilde loten gaat onmiddellijk na toewijzing over op de koper. Na de veiling én betaling treffen koper en FLANDERS FOAL AUCTION in onderling overleg de schikkingen voor de levering. De levering geschiedt in België op het adres van de maatschappelijke zetel van de FLANDERS FOAL AUCTION tenzij andersluidende schriftelijke afspraken tussen partijen. Gebeurlijke transportkosten zijn ten laste van de koper.
11. FLANDERS FOAL AUCTION maakt de koper er attent op dat de koper de mogelijkheid heeft om onmiddellijk na aankoop een verzekering af te sluiten bij Q&O Verzekeringen.
12. De koper kan geen recht ontlenen aan het feit dat FLANDERS FOAL AUCTION de loten heeft geselecteerd. De informatie betreffende de te koop aangeboden loten is er enkel op gericht een indruk te geven over de kwaliteiten van de loten, zonder de pretentie volledig te zijn en zonder daarmee garanties te geven. FLANDERS FOAL AUCTION is niet aansprakelijk voor gebeurlijke drukfouten en/of materiële vergissingen in de catalogus of foutieve vermeldingen op haar website.
13. FLANDERS FOAL AUCTION is niet aansprakelijk voor zichtbare en/of verborgen gebreken. Alleszins is de aansprakelijkheid van FLANDERS FOAL AUCTION maximaal beperkt tot de door de koper betaalde commissie en door de bedragen dewelke door haar verzekeraar gedekt worden.
14. In geval van export zal de koper binnen 3 maanden na de veiling een geldig exportdocument voorleggen op straffe van het alsnog door de koper verschuldigd zijn van BTW.
15. Indien een of meer van in de veilingvoorwaarden genoemde bepalingen niet rechtsgeldig zouden zijn of worden, blijven de overige bepalingen verder rechtsgeldig. In dat geval treedt in plaats van de bedoelde niet rechtsgeldige bepaling een nieuwe bepaling, die met de bedoelde oude niet rechtsgeldige bepaling zoveel als mogelijk overeenkomt voor wat betreft inhoud, het bereik en het doel daarvan.
16. Bij betwisting geldt uitsluitend de Nederlandse tekst. De vertaling van deze veilingvoorwaarden in een andere taal dan het Nederlands is louter informatief.
17. FLANDERS FOAL AUCTION beslecht in laatste instantie alle betwistingen die tijdens de veilingverrichtingen nopens de veiling zouden kunnen ontstaan. Elk geschil voortvloeiende uit deze veiling en haar gevolgen wordt uitsluitend beheerst door de Belgische wet met uitsluiting van de bepalingen van het Weens Koopverdrag inzake internationale koop-verkoop. De Ondernemingsrechtbank van Antwerpen, afdeling Hasselt en de rechtbank van eerste aanleg van Limburg, afdeling Hasselt zijn exclusief bevoegd om kennis te nemen van gebeurlijke geschillen.
